Drafting a Law Firm AI Policy From Scratch — A Step-by-Step Guide for NJ Solo and Small-Firm Attorneys

Most NJ solo and small-firm attorneys didn't formally decide to adopt AI. It crept in — a ChatGPT draft here, a contract review tool there, a paralegal who quietly started using an AI summarizer to get through deposition transcripts faster. And somewhere in the middle of all that, the firm never stopped to write down what's actually allowed.

That's a problem. Not a hypothetical one.

The New Jersey Rules of Professional Conduct don't yet mention "artificial intelligence" by name, but RPC 5.1 (supervisory responsibility among lawyers), RPC 5.3 (supervision of non-lawyer staff), and RPC 1.1 (competence) collectively create a framework where the absence of a policy is itself a risk. If a supervised employee uses an AI tool in a way that causes a confidentiality breach or produces a hallucinated legal citation that ends up in a filing, the supervising attorney doesn't get to point at ignorance as a defense. The NJSBA has made clear that reasonable supervision in 2025 requires knowing what tools your people are using — and setting expectations around how.

A written AI policy is that expectation, documented.

Here's how to build one that's practical, defensible, and actually proportionate to a small firm's reality.


Step 1: Take an Honest Inventory of What You're Already Using

Before you can govern AI use, you need to know what AI use is already happening. This sounds obvious — it almost never is. Ask yourself (and your staff) directly:

  • What AI tools are currently being used in the office, even occasionally?
  • Are any of those tools consumer-grade (ChatGPT free tier, Google Gemini, etc.) rather than legal-specific?
  • Is any client data — names, matter details, file contents — being pasted into those tools?

This inventory is your baseline. You may be surprised by the answers. Consumer AI tools that lack a Business Associate Agreement (BAA) or data retention controls should trigger immediate scrutiny under NJ RPC 1.6's confidentiality requirements — even if they've already been in use for months.


Step 2: Define Permitted and Restricted Uses Explicitly

A good AI policy doesn't say "use AI responsibly." That means nothing. It says: here is what you may use AI for, here is what requires attorney review before output is acted upon, and here is what is prohibited entirely.

A practical three-tier structure:

Permitted without additional review:

  • AI-assisted legal research summaries (where the attorney independently verifies cited authority)
  • Internal scheduling, billing narrative drafts, administrative correspondence

Permitted with mandatory attorney review before use:

  • Any client-facing communication drafted by AI
  • Motion sections, contract provisions, or discovery responses generated or substantially assisted by AI
  • AI-generated intake summaries used to open a matter

Prohibited:

  • Uploading client documents to any AI tool not under a signed vendor agreement with data protection terms
  • Using AI-generated output in any court filing without independent verification of every cited case
  • Allowing non-lawyer staff to finalize any AI-assisted work product without supervisory sign-off

This tiered structure maps directly onto your RPC 5.1 and 5.3 supervision obligations. It also creates an auditable record of your supervisory standard — which matters if a grievance ever lands at the ACPE.


Step 3: Set Vendor Approval Standards

Not every AI tool your staff encounters is appropriate for legal work. Your policy should require that any new AI tool — before firm adoption — meet a minimum threshold:

  • Does the vendor offer a signed data processing or confidentiality agreement?
  • Where is client data stored, and does that location create any conflict with NJ confidentiality rules?
  • Does the tool retain user inputs for model training? (Many consumer tools do by default.)
  • Has the vendor undergone a SOC 2 Type II audit or equivalent?

You don't need to become a cybersecurity expert to ask these questions. You need to make asking them a firm habit — and document the answers before onboarding any new tool.


Step 4: Build in a Disclosure Default

NJ ethics guidance hasn't yet mandated client disclosure every time AI is used in a matter. But the trend line in bar opinions nationally — including guidance that the ABA's Formal Opinion 512 previewed — is moving toward informed consent when AI meaningfully shapes legal work product. Getting ahead of this now costs you almost nothing.

A simple default: when AI tools play a substantial role in drafting client-facing documents or legal filings, your engagement letter or a separate disclosure note flags that the firm uses AI-assisted drafting tools and that all output is reviewed by a licensed attorney. This is honest. It's also good client relations.


Step 5: Write the Policy in Plain Language — Then Actually Distribute It

The most sophisticated AI governance document in the world does nothing if it lives in a folder no one opens. Keep your policy to two or three pages. Use plain language. Build in a brief annual review date so it doesn't go stale as tools evolve.

Then: email it to every person in your office. Have them acknowledge it in writing — even if that's just a reply email. Update it when you adopt a new tool or drop an old one.

For a NJ solo or small firm, it's one of the most practical risk management steps available right now — because it forces the conversation about what's actually happening in your practice before a disciplinary body forces it for you.
