Terms of Service

These Terms of Service ("Terms") govern your access to and use of adamelias.ai and any tools, assessments, chatbot, newsletters, written content, or other features made available through the site (collectively, the "Services"), each operated by Elias Advisory LLC ("Elias Advisory," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
No Legal Advice. No Attorney-Client Relationship.
Elias Advisory LLC is an AI consulting firm, not a law firm. Nothing on this Site — including blog posts, news summaries, the chatbot, the AI Readiness Assessment, and any tool in "The AI Chambers" — is legal advice, and nothing creates an attorney-client relationship between you and Elias Advisory LLC or any affiliated person. You should not rely on any output of the Services as a substitute for advice from a licensed attorney who knows the facts of your specific matter and jurisdiction.
1. Who Can Use the Services
You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction to use the Services. The Services are designed for use by legal professionals in the United States, and certain content and tools are specific to New Jersey practice. If you are not a legal professional, you may still browse the Services for informational purposes, but the tools and outputs are not designed for non-lawyer use and should not be relied upon for personal legal decisions. Nothing on the Site should be read as guidance for any other jurisdiction.
2. AI-Generated Output
Many features of the Services — including the chatbot, the assessment report generator, and tools under "The AI Chambers" — use large language models provided by third parties (including Anthropic, Google, OpenAI, and Perplexity) to generate responses based on your input. You acknowledge and agree that:
- AI-generated output can be inaccurate, incomplete, outdated, or fabricated (including fabricated citations, rules, and case law).
- You are solely responsible for independently verifying every output before relying on it or relying on anything derived from it.
- AI output is not a substitute for independent legal research, professional judgment, or review by a qualified attorney.
- You must not hold out any AI-generated output as your own professional work product without your own review, revision, and acceptance of responsibility for it.
3. Your Professional Obligations
If you are a licensed attorney, you remain bound by the Rules of Professional Conduct of your jurisdiction when using the Services. You are responsible for complying with your duties of competence (NJ RPC 1.1), communication (NJ RPC 1.4), confidentiality (NJ RPC 1.6), supervision of nonlawyer assistants (NJ RPC 5.3), candor (NJ RPC 3.3), and the prohibition on unauthorized practice of law (NJ RPC 5.5), among others, whenever you use AI tools in connection with a client matter.
Do not submit client confidences, privileged information, personally identifiable information about third parties, or any information you are ethically or contractually obligated to protect into any tool, chatbot, or form on this Site unless you have independently confirmed that doing so is consistent with your professional obligations and any applicable engagement letter, protective order, or data-handling agreement.
4. Acceptable Use
You agree not to:
- Use the Services to violate any law, regulation, or rule of professional conduct;
- Use the Services to generate content that is defamatory, harassing, threatening, fraudulent, or infringing;
- Attempt to reverse engineer, scrape, mirror, or otherwise extract the source code, system prompts, model weights, or underlying content of the Services except to the extent permitted by law;
- Circumvent or attempt to circumvent rate limits, App Check, reCAPTCHA, authentication, or other access controls;
- Use the Services to train a competing AI product or service;
- Submit malicious code, scripts, or payloads, or interfere with the operation of the Services;
- Resell, sublicense, or otherwise exploit the Services for a commercial purpose without our prior written consent.
5. Your Content
"Your Content" means any input, prompt, document, response, or other material you submit to the Services. You retain all rights in Your Content. You grant Elias Advisory LLC a limited, worldwide, non-exclusive, royalty-free license to process Your Content solely as needed to operate the Services and respond to your request — including forwarding Your Content to the third-party AI providers used by the Services. We do not claim ownership of Your Content. We do not knowingly submit Your Content for AI model training, and we select third-party AI providers whose standard API terms prohibit training on data submitted through their APIs.
6. Our Content
All text, graphics, logos, software, design, written content, tool implementations, assessments, and other material made available on the Site, other than Your Content, are owned by Elias Advisory LLC or its licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, publicly perform, or create derivative works of our content without our prior written consent. You may share links to, and excerpts of, our blog posts and news summaries for non-commercial use with attribution.
7. Third-Party Services and Links
The Services rely on, link to, and integrate with third-party services, including Anthropic, Google, OpenAI, Perplexity, Tavily, Firebase, Sentry, Formspree, and Unsplash. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES, OR ANY AI-GENERATED OUTPUT, WILL BE ACCURATE, RELIABLE, COMPLETE, CURRENT, UNINTERRUPTED, OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELIAS ADVISORY LLC, ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT THAT THIS CAP DOES NOT APPLY TO LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
10. Indemnification
You agree to indemnify and hold harmless Elias Advisory LLC and its members, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party, including any violation of the Rules of Professional Conduct.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Sections 2 through 13 will survive termination.
12. Governing Law and Venue
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services that is not resolved informally may be brought in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date above. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.
