Writing a Law Firm AI Policy From Scratch — A Step-by-Step Guide for NJ Solo and Small Firm Attorneys

Most NJ solo and small-firm attorneys have already made the leap — ChatGPT for draft motions, Clio Duo for matter summaries, contract review tools for due diligence. But ask those same attorneys to produce their firm's written AI policy, and the room goes quiet.

That silence is a liability.

A law firm AI policy isn't a compliance checkbox. It's the document that answers the question a disciplinary panel, a malpractice insurer, or a skeptical client will eventually ask: How does your firm govern the use of AI? If you don't have a written answer ready, you're managing risk you probably don't realize you're carrying.

Here's how to build one — from the first sentence to the last signature line.


Why "Winging It" Is No Longer Defensible in New Jersey

The New Jersey Supreme Court Committee on the Unauthorized Practice of Law and the NJSBA's Committee on the Future of the Legal Profession have both been tracking AI adoption closely. Meanwhile, the ABA's Formal Opinion 512 (2024) made clear that competent AI use requires lawyers to understand, among other things, how AI tools generate output and what safeguards are in place. NJ RPC 5.1 and 5.3 — governing supervisory responsibility over lawyers and non-lawyers respectively — extend to AI-assisted workflows. If a staff member (or an automated process) uses an AI tool to produce work product and you haven't defined how that should happen, supervision becomes retroactive and reactive rather than designed.

A written policy changes that.


The Six Sections Every NJ Law Firm AI Policy Needs

1. Scope and Covered Tools

Don't write a policy that only covers the tools you already know about. Write one that covers any AI-assisted tool used in connection with a client matter or firm operations — including general-purpose tools like ChatGPT, Google Gemini, and Microsoft Copilot. Staff will use whatever is fast and free unless you define the lane explicitly.

Example clause: "This policy applies to all AI-assisted software, plugins, browser extensions, and large language model platforms used by any attorney, paralegal, or administrative staff member in connection with Elias Advisory client matters, business development, or internal operations."


2. Approved vs. Prohibited Use Cases

This is the operational core of your policy. Be specific. Approved uses might include first-draft generation, deposition summary, and legal research with mandatory verification. Prohibited uses should include: submitting AI-generated citations without independent Westlaw or Lexis verification, uploading confidential client documents to tools without a signed Data Processing Agreement or Business Associate Agreement, and using free-tier AI tools (which routinely train on user inputs) for any client-facing work.

For NJ practitioners: client confidentiality under RPC 1.6 has already been addressed in NJ Ethics Opinion 742 and the guidance that followed. Your policy should operationalize those obligations — not just restate them.


3. Data Handling and Vendor Clearance

Before any AI tool touches client data, someone at your firm needs to have reviewed the vendor's data retention policy, confirmed whether the tool trains on user inputs by default, and verified the availability of a Data Processing Agreement or BAA for regulated data. Your policy should name who is responsible for that review and how often vendor terms are re-checked (at minimum, annually — these terms change).

Build a simple one-page Approved Vendor List as an appendix. It doesn't need to be a 40-row spreadsheet. Three columns: Tool Name, Approved Use, Last Review Date.


4. Output Verification Requirements

AI output is a first draft, not a final answer. Your policy should state explicitly that no AI-generated legal research, citation, contract clause, or court filing may be submitted or delivered to a client without attorney review and independent verification. This isn't just best practice — it's the floor required by RPC 3.3 (candor toward tribunals) and RPC 1.1 (competence).

Specify the verification standard: for case citations, independent confirmation in Westlaw or Lexis; for contract clauses, cross-reference against your firm's current standard templates; for legal analysis, attorney sign-off before any client communication.


5. Non-Lawyer Supervision

If your paralegal, legal assistant, or virtual receptionist uses AI tools — and they almost certainly do — your policy needs to define what they may do autonomously and what requires attorney review before use. RPC 5.3 makes the supervising attorney responsible for that work. Document the chain.

A simple rule: any AI output that will be shared with a client, filed with a court, or sent to opposing counsel must pass through an attorney's eyes first, regardless of who generated it.


6. Policy Review and Attestation

AI tools evolve faster than most ethics opinions. Build a mandatory annual review cycle into the policy itself, and require every staff member to sign an acknowledgment that they've read and understood it. That attestation is your paper trail if a supervision question ever surfaces.


The One-Page Version Nobody Will Skip Reading

If a six-section policy feels like overkill for a two-person firm, distill it into a single-page decision tree posted near every workstation: Is this a client matter? → Does the tool have a signed DPA? → Has output been attorney-reviewed? Three gates. If any answer is no, stop and escalate.

The sophisticated policy and the one-pager aren't mutually exclusive — one governs the firm, the other gets followed in the moment.


Start With a Draft, Not Perfection

The best AI policy for your NJ solo practice is the one that exists in writing today, even imperfectly, rather than the comprehensive version you'll get around to someday. Draft the scope and the approved/prohibited use list this week. Add the vendor review process next month. Treat it as a living document — because in 2025, it absolutely has to be.
