Your NJ Firm's First AI Policy Needs These 7 Clauses — Or It's Not Really a Policy

Most solo and small-firm attorneys in New Jersey have already made a quiet, practical peace with AI tools. They're using them — for drafts, for research, for client emails, for discovery summaries. What most haven't done is write any of it down.

That gap is the problem. An unwritten AI policy isn't a policy. It's a habit. And habits don't hold up when a client asks how their data was handled, when a grievance is filed, or when a supervising attorney needs to demonstrate reasonable oversight under RPC 5.1 or 5.3. Written policies do.

If you've been putting off drafting your firm's AI policy because it feels like a corporate exercise, let this reframe it: your AI policy is your professional liability document. It shows you thought about this before something went wrong. Here are the seven clauses you can't afford to leave out.


Clause 1: The Permitted Tools List

Your policy must name the specific AI tools your firm authorizes for use — not categories, not vibes. Name them. "We use [Tool A] for first-draft contract review and [Tool B] for internal research summaries" is a policy. "We may use AI tools when appropriate" is a liability.

For each approved tool, note: (1) what it's authorized for, (2) what data tier it can touch (more on that below), and (3) whether it has been vetted for data handling compliance. New approvals should require a documented review — even a simple checklist — before the tool gets added to the list. Anything not on the list is prohibited by default.


Clause 2: Client-Matter Flagging Protocol

Not every client file is the same risk profile. Your policy needs a flagging system — a lightweight mechanism for identifying which matters require extra scrutiny before AI tools are applied.

Common triggers for elevated scrutiny: matters involving minors, immigration status, sealed proceedings, domestic violence, criminal defense, or clients who have explicitly requested no third-party data sharing. When a matter is flagged, the policy should specify who reviews AI use before it proceeds and what the approval looks like. This doesn't need to be bureaucratic — a two-line entry in your matter notes works — but it must be consistent.


Clause 3: Prohibited Data Categories

This clause draws the hard line. Certain categories of client information should never be entered into AI tools, full stop — regardless of the tool's privacy settings or terms of service.

Your prohibited list should minimally include: Social Security numbers, financial account details, medical records, immigration documents, juvenile records, and any information subject to a protective order. Consider also prohibiting the names of clients in active matters from being used in AI prompts unless the tool has been specifically approved for identified-client data. This is your operational implementation of RPC 1.6 — not a restatement of the rule, but the actual firm behavior that satisfies it.


Clause 4: Staff Training Requirement

If you have paralegals, legal assistants, or contract support staff using AI tools on your firm's behalf, your policy must address their training. Under RPC 5.3, you are responsible for the conduct of non-lawyer staff. "I didn't know she was pasting client data into ChatGPT" is not a defense.

The training requirement doesn't need to be elaborate. At minimum: an annual walkthrough of the permitted tools list, the prohibited data categories, and the client-matter flagging protocol. Document who completed it and when. A simple sign-off sheet stored in your practice management system is sufficient.


Clause 5: Audit Log Retention

Your policy should require that AI-assisted work product be identifiable and traceable. This means keeping a record — even a basic one — of which matters involved AI assistance, which tool was used, and in what capacity.

Many practice management platforms support custom fields or tags for exactly this purpose. The retention period for these logs should match your jurisdiction's general file retention standards. This clause protects you in two directions: it demonstrates oversight if your conduct is ever questioned, and it lets you reconstruct your workflow if a client disputes the work.


Clause 6: Client Disclosure Procedure

New Jersey's evolving ethics guidance makes clear that transparency with clients about AI use is not optional — it's part of the trust relationship. Your policy needs a defined procedure for how and when that disclosure happens.

At minimum: decide whether disclosure is made at engagement (via your retainer agreement) or matter-by-matter. Draft a standard one- or two-sentence disclosure that is plain, honest, and non-alarming. Something like: "Our firm may use AI-assisted tools to support legal research and document drafting. All work product is reviewed and approved by a licensed attorney before use." Make sure your engagement letters and, if applicable, your website reflect whatever standard you've set.


Clause 7: Exception Handling

No policy survives contact with practice reality without an exception mechanism. Your AI policy should explicitly state how exceptions are requested, who approves them, and how they are documented.

This clause prevents the quiet workaround — the staff member who decides the prohibited data rule doesn't apply to this one urgent situation — from becoming your exposure. A simple exception log (date, matter, tool, reason for exception, approving attorney) is all you need. The act of documenting it creates accountability without bureaucracy.


Putting It Together

None of this requires a 20-page compliance manual. A one- to two-page internal document, reviewed annually and signed by every person in your firm who touches AI tools, is a professional-grade AI policy. It signals competence under RPC 1.1. It supports supervision under RPC 5.3. It operationalizes confidentiality under RPC 1.6. And it gives you something concrete to point to if your judgment is ever questioned.

The attorneys who draft their AI policies now — before an incident forces the conversation — are the ones building the kind of practices that clients trust and ethics boards respect. That's not a trend. That's just good lawyering.
